Welcome to FurnitureCustomer™ websites. and all programs and products provided by FurnitureCustomer™, including: data, information, services and software (the “Websites“). This is the legal agreement between you and FurnitureCustomer™ governing your use of the Websites, and this agreement contains disclaimers of liability and other terms that affect your rights. By using the Websites, you agree to this agreement (the “Terms of Use”). If you do not or cannot understand and agree to these Terms of Use, you cannot use the Websites.

Please be sure to review the FurnitureCustomer™ Privacy Statement, which is referentially incorporated within the Terms of Use, and which governs collection, use and disclosure of any information provided by yourself. Additional terms may apply to your use of specific features or services, and where additional terms apply, those terms will be accessible to you or shown to you, and you agree to read and be bound by those additional terms.

Throughout these Terms of Use, FurnitureCustomer™ and any of their programs and products (including data and information) may be referred to as us and we. You may be referred as you, yourself, the customer, the purchaser or the visitor. FurnitureCustomer™ is not responsible for any of your actions or alternatively any lack of your actions, in relation to our Websites, User Content, and user account, which includes data, information, services and software.

In using the Websites, User Content and user account, you, the customer or purchaser or visitor, authorizes FurnitureCustomer™ to communicate with them by email. By communicating through the Websites, User Content and user account, or submitting any application, inquiry or request under those, you are consenting to our use of your email as a method of communication. The visitor, customer or purchaser releases FurnitureCustomer™ from any liability in relation to its submission of information in the event there is a privacy or security issue.

FurnitureCustomer™ may log and retain access information for you such as: the time of usage and IP addresses from all persons that enter the Websites, User Content, or user account, You, the customer or the purchaser or the visitor, agree that you will be the authorized person to access any account or login system that may be provided now or in the future by the FurnitureCustomer™.

You confirm that you: have decided to enter and use the Websites, User Content, and user account, at your own risk; and further acknowledge and agree that neither the FurnitureCustomer™, nor any of our employees, agents and representatives, have at any time in the past represented or communicated to you directly or indirectly any guarantees.

The programs and products, including data and information, available from the FurnitureCustomer™ through the Websites, User Content, and user account, is provided “as is” and “as available” and at your risk; and all warranties, whether express or implied, are disclaimed including but not limited to the disclaimer of any implied warranties of merchantability and fitness for a particular purpose. The programs, products, data and information available from the FurnitureCustomer™ through the Websites, User Content, and user account may contain errors, problems, or other limitations.

FurnitureCustomer™ is not responsible for checking, verifying any information submitted by you by posting, or information found upon our Websites, User Content, and user account, and relied upon by you. FurnitureCustomer™ does not guarantee that we will post any information provided by you, or that we will continue to post that information, or that we will retain any information provided by you or posted on our Websites, User Content, and user account.

You agree that the sole and entire maximum liability of the FurnitureCustomer™ for any inaccuracy in their programs, products, data or information for any reason; and your sole and exclusive remedy for any cause whatsoever; shall be limited to the amount that may have been paid by you to the FurnitureCustomer™ for the Websites, User Content, and user account, and programs and products received, including the data and information.

In the event that you have provided FurnitureCustomer™ or any of our employees, representatives or agents with false or misleading information, we reserve the right to cancel your access to the Websites, User Content, and user account, and any agreements that we may have with you. FurnitureCustomer™ reserves the right to cancel or refuse service to anyone, including yourself, that may be threatening, harassing, abusive, rude, or unprofessional to any of our employees, representatives or agents. If your access to the Websites, User Content or user account is cancelled, you will no longer have access to any account or login system, or access to any or all information or content that may be contained at the Websites, User Content, or user account. This information or content may be deleted by the FurnitureCustomer™ in their sole discretion, and the FurnitureCustomer™ accepts no liability for any deleted information or content. Further, any information or content collected by the FurnitureCustomer™ with respect to you is deemed to be the property of FurnitureCustomer™.

In case any one or more of the terms or conditions for the Websites, User Content, the user account, the Terms of Use and Privacy Statement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or non-enforceability shall not affect any other provision; and the terms and conditions for the Websites, User Content, user account, Terms of Use and Privacy Statement shall be construed as if such invalid, illegal or unenforceable term or condition had never been included. Failure of the FurnitureCustomer™ at any time to enforce any of the terms or conditions for the Websites, User Content, user account, Terms of Use or Privacy Statement shall not preclude any other or further enforcement of such term or condition. We reserve the right at any time to modify or discontinue, temporarily or permanently, the Websites without notice. You agree that the FurnitureCustomer™ shall not be liable to you or to any other party as a result of the modifying or discontinuing the Websites, User Content or user account, whether temporarily or permanently.

DEFINITIONS

For the purposes of this Agreement:

”FurnitureCustomer™“,”we“, or “us” means FurnitureCustomer™ and any or all parent, partner, subsidiary, affiliated, assignee, successor and nominee companies; and includes any and all directors, officers, owners, employees, agents, shareholders, affiliates and nominees.

The “Websites” means the FurnitureCustomer™ websites accessible at www.furniuturecustomer.com and any affiliated, associated or co-branded features, applications, services or websites provided to you by or through FurnitureCustomer™ or their Websites.

The “Terms of Use” means this Terms of Use including the Privacy Statement and any amendments, modifications, and any additional terms which apply to particular features or services.

References to “posting” refer to the act of submitting material or making anything available to or through the Websites or other FurnitureCustomer™ services or servers. This includes, without limitation: submitting listings or other content, posting comments, and sending messages to FurnitureCustomer™ employees, agents, nominees, contractors and service providers, or to other users through the Websites, User Content or user account.

ACCESSING THE WEBSITES

You agree to access the Websites using only the interfaces that FurnitureCustomer™ provides. You will not access the Websites by any automated means, including scripts, bots, spiders, etc. You will not attempt to collect or index content or data from the Websites using scripts, scrapers or other automated or manual means. You will not reproduce content from the Websites on other websites, or present our content in HTML “frames” or by similar means. You agree not to attempt to hack, disrupt, gain unauthorized access to, or interfere with the Website, any associated networks or servers, or another user’s account.

You agree and warrant that you shall not use any form of mass unsolicited electronic mail solicitations, news group postings, IRC posting or any other form of spamming. You agree and warrant that we reserve the right to block mail from any source which we believe, in our sole discretion, is being used to send such unsolicited e-mail, including but not limited to open mail relays. You agree and warrant that you shall not engage in any false, deceptive or fraudulent activities in association with your use of our Websites.

You agree that at all times when you use the Websites, User Content and user account that you will act in a manner consistent with the Terms of Use and Privacy Statement; and that you shall not in any way impair the functioning or operation of our Websites or networks or servers. Should your use of our Websites result in an overly high load or stress on our networks or servers, we shall, in our sole discretion, suspend your access or account as the case may be, until the cause of any such overload or stress is determined and resolved to our satisfaction.

You may view and print pages from the Websites for your own use, provided that you do not alter the content, and provided that all copyright and trademark notices are included. FurnitureCustomer™ reserves the right to change any aspect of and your use of the Websites, User Content, user account, Terms of Use or the Privacy Statement, including: the right to refuse or remove any content, whatever the source, at any time, without any notice or liability to you or any or all other users.

WEBSITE AND USER CONTENT

FurnitureCustomer™ may allow you to submit comments, ratings, reviews, “for sale” listings, messages to other users, or other content to the Websites (“User Content“). When you submit any User Content, you must abide by the following rules:

1. Be honest, relevant, and factually accurate. Any opinions that you express must be your own and must be genuinely held.
2. Don’t post anything that violates any applicable law or breaches any contractual or legal obligation you may have to any other person; or encourage others to commit illegal acts or violate these Terms of Use.
3. Don’t post anything that may be defamatory, incorrect, false, misleading, malicious, threatening, abusive, harmful, obscene, offensive, slanderous, racist, libelous, or otherwise objectionable. Don’t harass, threaten, or annoy other users; and don’t impersonate any other person.
4. Don’t conspire with others to push a product or an agenda on the Websites. Don’t post spam, including commercial messages for any other person or business.
5. Don’t use scripts to automatically post content to the Websites. Don’t post or link to harmful or malicious content, malware, or computer viruses.
6. Don’t post anything that infringes on anyone’s intellectual property rights.

FurnitureCustomer™ is not responsible for checking or verifying any User Content provided by you, nor do we guarantee posting or ongoing publication of any User Content provided by you. We may remove, modify or delete User Content including any content which appears to breach these Terms of Use, or which appears to infringe on the intellectual property rights of others, or for any other reason at all in our sole and absolute discretion, or pursuant to a lawful request, or judicial or legal demand or order.

By submitting and posting User Content, you affirmatively represent, agree and warrant that you have and at all times shall have all necessary intellectual property rights, including, but not limited to, all copyrights, trademark and service mark rights and rights of publicity, in the United States, Canada and internationally to reproduce and disseminate, via the Internet, all User Content, data and information transmitted to or from our Websites and servers. You agree and warrant that no data or information transmitted by you while using our Websitess will contain any material which is harmful, discriminatory, violent, threatening, abusive or hateful. You further agree not to transmit data or information which is libelous, slanderous, defamatory, or in violation or infringement of any common law or statutory right or any other right of any person or other entity, including, without limitation, privacy rights and all other personal and proprietary rights.

When submitting and posting User Content to the Websites, or viewing and using any information provided on the Websites or User Content, you agree to comply with all national, state, provincial, municipal and local laws and requirements, as well as any international laws and requirements, while using the Websites. You also agree to abide by all national, state, provincial, territorial and local laws and requirements, as well as international laws and requirements, regarding online conduct and acceptable content. Specifically and in particular, you agree to comply with all applicable laws and requirements regarding the transmission, security and privacy of technical data and personal information within and external to the United States.

When submitting and posting User Content to the Websites, you retain ownership of copyright and other intellectual property rights in that content, but you grant FurnitureCustomer™ a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable and sub-license to use, modify, reproduce, make available, and redistribute it in any form, format or media now known or later developed, without any requirement for checking and verification by us, or attribution or compensation to you. You agree that access to the Websites is sufficient consideration for the license you grant to us. You waive any right you may have to take action against us and our officers and directors and owners, our parent or subsidiary or successor companies, any assigns or affiliates or nominees, or sub-licensees for infringement of any intellectual property or moral rights you may have in any User Content. By submitting any User Content, you represent and warrant that you own or have licensed all relevant rights in that content, including intellectual property and personality rights, and that our use of your submissions will not infringe upon or violate the intellectual property rights, privacy rights, publicity rights or any other rights of any third party.

User Content may be subject to deletion, editing, moderation by FurnitureCustomer™ prior to publication on the Websites, and at any time thereafter. We may edit, modify, delete or refuse to publish any User Content or other information on our Websites at any time and for any reason in our sole and absolute discretion, including but not limited to breach of these Terms of Use and the Privacy Statement. As a user of our Website or a provider of User Content, you understand that FurnitureCustomer™ does not check or verify or moderate any User Content or other information on the Websites; that we have no obligation to check, verify moderate any User Content; and that your use of or reliance on User Content on our Websites is at wholly at your own risk.

You are solely responsible for any User Content you submit or rely, and you understand the User Content you see on the Websites has not have been checked, verified, moderated or reviewed by FurnitureCustomer™ or any other person. FurnitureCustomer™ does not endorse and takes no responsibility for the accuracy or reliability of any User Content or information on the Websites. It’s your sole and absolute responsibility to determine whether the User Content you see on the Websites is accurate or reliable.

Any advertisements, opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including our advertisers, service providers or other users on or through our Website are not those of FurnitureCustomer™ You agree that FurnitureCustomer™ shall not be held liable to you, any or all users, or to any third party for the actions of users of our Website, or for your use of or reliance on User Content, or any user generated content and information contained “for sale” listings, third party advertisements or third party content.

USER ACCOUNTS

You are responsible for your use of the Websites, and for everything submitted to the Websites using your user account, including anything posted by others who may gain access to your account. You acknowledge that it is your responsibility to select a strong password for your user account, and keep it secure and confidential. You understand that any submissions or actions that are in violation of any applicable law (including, but not limited to civil liability, defamation and libel, infringement of intellectual property rights, privacy), may lead to legal action against you. You agree to provide us with current and correct information wherever requested, and to update that information if it changes. You agree to notify us and provide a current email address if your email address changes. If FurnitureCustomer™ feels that you have breached the Terms of Use or the Privacy Statement or for any other reason in its sole and absolute discretion, FurnitureCustomer™ may modify, deactivate, limit, or delete your user account (and also delete or limit your User Content), or we may block you from accessing the Websites entirely. If FurnitureCustomer™ deletes, deactivates or limits your user account for breach of these Terms of Use or the Privacy Statement or any other reason, you may not create another user account without our express prior written permission.

AMENDMENTS TO TERMS OF USE

FurnitureCustomer™ may amend any of these Terms of Use at any time by posting an updated version of the Terms of Use on the Websites. Any amendments will be effective from the time they are posted on the Websites. Once posted, the amended version of the Terms immediately supersedes any previous versions of the Terms of Use. You agree that your continued use of the FurnitureCustomer™ Websites will be deemed to indicate your acceptance of the amended Terms of Use.

LIMITATION OF LIABILITY

You confirm that you have decided to enter and use our Website, the User Content and other information available on the Websites at your own sole and absolute risk; and further you acknowledge and agree that neither FurnitureCustomer™ and none of its employees, agents, partners, affiliates, nominees or any other representatives have at any time in the past represented to you directly or indirectly, or in any manner communicated to you, any guarantees for; the Websites, and the User Content or any other information found on the Websites. FurnitureCustomer™ makes no guarantees or warranties of any kind for the Websites, any User Content, and any or all user accounts, features, functionality, services or uses with the Websites. FurnitureCustomer™ provides the Websites on an “as-is” and “as-available” and “at risk” basis”. You agree that FurnitureCustomer™ is not liable to you or any or all users for any reason in connection with your use of, reliance upon, or inability to use the Websites or any of its features or functionality or the User Content or other information.

The data, information, programs and products available from the FurnitureCustomer™ through the Websites including User Content and any other information provided on the Websites are provided “as is” and “as available” and “at risk” basis”; and all warranties, whether express or implied, are denied and disclaimed including but not limited to the disclaimer of any implied warranties of merchantability and fitness for a particular purpose. You understand and agree that the programs, products, data and information available from FurnitureCustomer™ through the Websites and User Content and other information on the Websites may contain errors, problems, or other limitations. You agree that the sole and entire maximum liability of FurnitureCustomer™ for any inaccuracy in their Websites, User Content, programs, products, data or information for any reason; and that your sole and exclusive compensation, damages and remedies for any cause whatsoever shall be limited to the amount paid by you to the FurnitureCustomer™ for the Websites, User Content, programs, products, data and information received; with you further recognizing and agreeing that you will not be entitled to any compensation if you have not made any payments.

You agree that: FurnitureCustomer™ has no control over any of our public free or paid web pages; we are not responsible for any use by a third party in regards to what they transmit to you or any other person connected to you in any form; and we cannot be held responsible for such use or actions by any third parties. You agree that you use our Websites, User Content and any other information at your own risk, and that any causes of action that arise from this use are not our responsibility; and that any legal and other expenses incurred by FurnitureCustomer™ defending any such claims shall be reimbursed by you to us. This includes any expense related to us defending claims associated with you, or as a direct result of you.

You understand that we cannot be held responsible for User Content or for any other information provided by third parties or third party websites, including FurnitureCustomer™ advertisers, affiliates, assignees, contractors, nominees, partners, service providers, subsidiaries and successors. It is your responsibility to determine whether content made available through the Websites or User Content is accurate or reliable. FurnitureCustomer™ does not endorse any information posted to or available through the Websites or User Content, including “for sale” listings, and content posted by FurnitureCustomer™ software service providers, contractors, or employees (with the exception of official FurnitureCustomer™ announcements). To the extent permissible by law in place from time to time in Canada or any province or territory, FurnitureCustomer™ disclaims all liability for the accuracy, reliability, unsuitability for any particular purpose, or noncompliance with any applicable law, of anything posted to, or linked to or from the Websites or User Content.

You agree that you do not and will not own or have any proprietary rights in the Websites, User Content or your user account, that you have no right to uninterrupted access to the Websites, User Content or your user account; and you have no right to storage of or deletion of any content or data you submit to the Websites, User Content or your user account. We may add, delete, limit, modify or disable Website User Content or your user account features, content or functionality at any time. We may temporarily or permanently shut down, limit, suspend or discontinue the Website User Content or your user account; or your access to the Websites, User Content or your user account at any time, for any reason including for breach of these Terms of Use, at our sole discretion, and without notice. While we do our best to provide uninterrupted access to the Websites, it may at any time become permanently or temporarily unavailable for any reason, including maintenance, or as a result of circumstances beyond our control, such as network or server outages, or incorrect configuration of the software, network, or computer you are using to access the Websites, User Content or your user account. We cannot be held liable for any outages or for the deletion of any data in your User Content or your user account.

DISCLAIMER OF WARRANTIES

To the maximum extent permissible by applicable law in place in the country, state, province, territory and municipality from time to time, FurnitureCustomer™ expressly disclaims all warranties (express or implied), and all liability of any kind to you. You agree that under no circumstances will we be directly or indirectly liable for damages of any kind relating to the Terms of Use, the Privacy Statement, the Websites, User Content, user account, or your use thereof, including any general, special, consequential, exemplary or punitive damages, even if we have been specifically advised of the possibility of such damages.

INDEMNITY

You agree to defend, indemnify and hold harmless the FurnitureCustomer™ – including its officers, directors, owners, employees, agents, shareholders, and related entities, assigns, successors and assigns, partners, affiliates, contractors and nominees – from and against any and all claims, demands, actions, suits, loses, liabilities, damages, injuries, fines, penalties, costs and expenses, including, without limitation, reasonable legal fees, arising out of any property damage or recoverable economic loss incurred by a third party, to the extent such damage or loss is caused by an act or omission of you or your agents or representatives in connection with the Terms of Use, Privacy Statement, Websites, User Content, user account or your infringement of any intellectual property or other right of FurnitureCustomer™ or any other person or entity.

INTELLECTUAL PROPERTY

All rights in the design, source code, and appearance of the Websites, and all of the materials and content made available through the Websites, User Content or user account are owned by or licensed to FurnitureCustomer™. These materials are protected by law against unauthorized copying and reproduction. Any unlicensed use, reproduction or distribution of any of this proprietary material is expressly prohibited. Trademarks appearing anywhere on the Websites are owned or licensed FurnitureCustomer™ or its affiliates, assigns and successors, and subsidiaries, or are owned by third parties. You may not use or display these trademarks except as may be required in order to make use of the Websites in accordance with these Terms of Use and Privacy Statement. The display of any trademarks on the Websites does not imply that a license has been granted to you for any further use.

DEALING WITH THIRD PARTIES

Any correspondence or business dealings with any third parties – including merchants, sellers, service providers, or advertisers found on, or through the Websites, User Content or user account– are solely the responsibility of you and occurring at your risk. FurnitureCustomer™ is not responsible for any damages you may suffer by corresponding with or entering into transactions with any third parties, or for any terms, conditions, warranties, or representations associated with such dealings. You and the third parties, and not FurnitureCustomer™ are responsible for compliance with all laws applicable in any such transaction. You correspond and transact with these third parties through the Websites or User Content or by any other means at your own risk.

NO ENDORSEMENT OF THIRD PARTY WEBSITES OR SERVICES

The Websites or User Content or user account may contain links to third party websitess or services provided by parties other than FurnitureCustomer™ These links are for your convenience only and FurnitureCustomer™ does not assume responsibility for the accuracy, reliability or appropriateness of these third party websitess or services. Any mention of another party or its product or service on the Websites and User Content or user account is for informational purposes only and should not be construed as an express or implied endorsement of that third party or its advice, opinions, information, products or services. Third party websitess and services may be subject to terms and conditions imposed by the operator of those websitess and services. FurnitureCustomer™ assumes no responsibility for, and disclaims all liability related to your use of any third party websites or service.

The Websites and User Content are published by FurnitureCustomer™ without checking, endorsement, review or verification, and any correspondence or transactions with third parties through the Websites are between you and that third party. CarCustomer™ has no responsibility or liability for any damages or losses that you may incur in connection with items or services by third parties on the Websites, User Content or through your user account.

CONFIDENTIALITY

The Internet is not a secure means of communication. The privacy, integrity and authenticity of any communication over the Internet cannot be ensured. FurnitureCustomer™ is not responsible for any damages you may suffer if you communicate confidential information over the Internet or if FurnitureCustomer™ communicates such information to your email at your request.

INTELLECTUAL PROPERTY INFRINGEMENT

You cannot post any content to the Websites or User Content that infringes upon the intellectual property rights of others. If we believe that you have posted infringing content, we may delete or modify your posted content. If you repeatedly post infringing material, we may delete, disable or limit your user account. Infringement of third party intellectual property rights may lead to legal action against you. Please report any suspected infringement of your intellectual property rights to us at legal@furniturecustomer.ca.

TERMINATION

We may terminate the Terms of Use at any time by deleting your user account for breach of these Terms of Use or the Privacy Statement or if you otherwise put FurnitureCustomer™ at risk of legal exposure. We may also terminate this agreement without notice to you if we decide to discontinue providing the Websites or User Content. The license you grant to us to use any User Content that you submit, all indemnities, and all terms limiting FurnitureCustomer™ liability shall survive termination of the Terms of Use, the Privacy Statement and Websites.

MISCELLANEOUS

1. Nothing in these Terms of Use, the Privacy Statement, the Websites, User Content and your user account shall be interpreted to require or prevent FurnitureCustomer™ from taking any action to comply with any applicable legal requirement.
2. FurnitureCustomer™ failure or forbearance to enforce any terms and conditions of the Terms of Use, the Privacy Statement, the Websites, User Content or your user account shall not be considered a waiver of any of our rights.
3. You agree that this agreement is provided to you in English. It is your responsibility to ensure that you understand these Terms of Use. 4. You cannot transfer or assign your rights and obligations under the Terms of Use, the Privacy Statement, the Websites, User Content or your user account to any other person without FurnitureCustomer™ express written consent.
5. You agree that FurnitureCustomer™ may communicate with you about the Terms of Use, Privacy Statement, Websites, User Content or your user account via the email address you provide to us.
6. FurnitureCustomer™ may freely assign its rights and obligations under these Terms of Use, the Privacy Statement, the Websites, User Content and your user account in the event that it is party to a merger, acquisition, restructuring, sale of assets, or for any other reason.
7. You agree to negotiate in good with us in good faith and resolve any dispute or claim you feel you may have with FurnitureCustomer™ concerning the Terms of Use, Privacy Statement, Websites and User Content. You agree to hold any arbitration, civil action, dispute resolution, mediation civil action or litigation or any other proceeding with FurnitureCustomer™ in Wilmington, Delaware, USA.
8. Any civil action and litigation under or with respect to the Websites, Terms of Use, Privacy Statement, User Content and user account shall be heard and solely and exclusively by the Courts in the Wilmington, Delaware, USA, and no other courts.
9. The Courts of the City of Wilmington in the State of Delaware have exclusive jurisdiction and no other courts; and the governing law for the Terms of Use, Privacy Statement, Websites, User Content and user account is the Law of the State of Delaware.
10. If any provision of these Websites, Terms of Use, Privacy Statement, User Content and user account is declared by the Courts of the City of Wilmington, Delaware or any other courts to be invalid, illegal or unenforceable, that provision shall be deemed to be severable, and the remainder of the provisions of the Websites, Terms of Use, Privacy Statement, User Content and user account shall remain valid and in full force and effect.
11. Neither you nor us may be a representative of other potential claimants, or a class of potential claimants, in any dispute concerning or relating to the FurnitureCustomer™ or the Terms of Use, Privacy Statement, Websites, User Content and user account; nor may two or more individuals or persons’ disputes be consolidated or otherwise determined in one civil action, arbitration, dispute resolution, mediation or any other proceeding. You also agree to waive any rights to participate or initiate an action as a plaintiff or as a member of a class action.
